ABOUT THE ROLE 

OX2 is a leading provider of renewable energy in Europe, with over 200 wind turbines under management and a development pipeline of over 20 GW in Finland and Åland. As Legal Counsel you are responsible for handling the legal work related to the day-to-day business of OX2 Finland, as well as being the local ambassador for compliance issues. You will work closely with the leadership team making sure that legal and compliance matters are addressed with a solution-focused business mindset. 

Key focus areas in the role are real estate land lease agreements and issues related to establishing renewable energy facilities. You will collaborate with a range of internal and external stakeholders, steer permitting processes, and ensure that new and existing project workstreams are conducted in compliance with applicable laws. 

You will be part of the OX2 global Legal and Compliance team, reporting to the General Counsel in Sweden as well as the Country Manager in Finland. An important part of your responsibilities is contributing to common legal issues and continuous improvement of know-how, tools, and ways of working in the Group. You will manage external resources and have one direct paralegal report.

RESPONSIBILITIES

• Conduct the day-to-day legal work for the Finnish OX2 business. Be in direct relationship with authorities and landowners, manage key stakeholders and support Country Manager.
• Responsibility of the legal aspects of the existing portfolio of land lease agreements, including all projects in construction and operation, in good cooperation with the land management team.
• Collaborate with development team and provide the required legal work throughout project development, especially concluding requisite land use rights agreements and assisting in the steering of the permitting process (solar, wind and other renewable energy projects). Assessment of such issues as part of OX2 project acquisition from third parties.
• Ensure development workstreams are conducted in full compliance with applicable laws.
• Execute legal check on permitting and real estate related topics under pre-screening, development or DD and support business decisions by providing grounded legal opinion.
• Support cross-functional team in drafting and or reviewing transaction related documents (NDAs, LoIs, NBOs, SPAs, ATAs, Cooperation Agreements etc.) ensuring good coordination between the business needs and legal/risk management requirements.
• Collaborate with the global Legal and compliance team and contribute with legal work on common issues and projects. Assist and lead applicable legal compliance workstreams for internal corporate matters.
• Lead local compliance work, including trainings and implementation of new legislation, as well as compliance checks of all transaction related documentation with external parties or local authorities.
• Monitor the relevant regulatory frame developments and expected or forecasted changes that can impact the business in terms of risks or opportunities, and participate on behalf of OX2 in related regulatory working groups within sector organizations or other fora.

QUALIFICATIONS

• University degree in Law (LLM)
• Preferably at least 5 years of experience as in-house counsel and/or from a law firm
• Strong business acumen
• Solution-focused approach and ability to deliver in a fast-paced complex environment
• Ability to build trust with external and internal stakeholders, understand stakeholder requirements, and take ownership
• Experience of working independently as well as being part of a team
• Leadership and management team experience in any form is meriting
• Fluent in English and Finnish. Other European languages are a big plus
• Good skills with the MS Office package in general
